Adopted on August 15th, 2020 by the GA
These rules of procedure are established in accordance with article 14 of the statutes of our association, with the aim of clarifying and supplementing certain rules of its operation.
1. Ethics charter
1.1. Members undertake to demonstrate complete integrity in all circumstances, whether within or outside the association.
1.2. Members will endeavor to participate actively in the life of the association and to work for the achievement of its purpose.
1.3. Members will refrain from damaging in any way the reputation, image, and interests of the association and of other members.
1.4. Members will strictly respect the confidentiality of non-public information that they may become aware of concerning the association and other members.
1.5. Members will respect the association’s confidentiality policy (available on the association’s website) and in particular the General Data Protection Regulations in accordance with the French Data Protection Act and the European Data Protection Regulation no. 2016/679 of April 27, 2016. They will therefore not disclose the contact details of other members and their representatives and will not use them for purposes unrelated to the intention of the association. They undertake in particular not to make any commercial use of them and not to use or allow their use for prospecting and canvassing purposes.
1.6. Members will not act or speak on behalf of the association without the express written authority of the President or Governing Body Board.
1.7. Members and their representatives will take all appropriate measures to prevent any conflict of interest.
1.8. Members will promptly inform the Governing Body Board of any possible conflict of interest and generally of any difficulty that may arise in relation to the association.
2. Admission of new members
2.1 Any new member, except Ancestral Guardian members, must be sponsored and presented by a member of the association prior to their approval.
2.2 Any new Ancestral Guardian member must be invited by the Governing Body prior to their approval.
2.3 To join the Association, Ancestral Wisdom Practitioner members must be sponsored and introduced by an Ancestral Guardian member.
2.4 Any membership request must be made in writing using a form prepared for this purpose by the Governing Body.
2.5 On the basis of their competencies, as defined by article 7 of the statutes, the Governing Body will make sure that new members are able to fulfill their membership role, and are motivated to work for the realization of the object of the association.
2.6 The Governing Body may admit as a new member any natural or legal person.
3. The Different Types of Active Members
3.1 Founding Member:
This is the legal representative of the association. His/her role is to guide, define the strategy of the association, ensure that the values of the association are respected, validate all decisions that may call into question the merits of the association, & defines and validates development projects.
3.2 Active Member:
The Association has two types of Active members:
3.2A Financial Administrative Manager:
His/her role is to ensure the proper management of the association, maintaining the bookkeeping and presenting the annual accounts in compliance with the regulations in force, and any filing/generating any document that allows the founding member to make decisions for various projects. He/she has a duty to alert the governing body regarding possible risks.
3.2B Event / Communications Manager:
His/her role is to establish alliances and contacts, to ensure the link between the governing body and public or private institutions, & to set up external events that allow the search for funding/donations/sponsoring in collaboration with the Financial Administrative Manager.
3.3 Associate/Adhering Members
Adhering members are those that are current with their membership fees.
3.4 Honorary Members
He/she supports the association in significant ways. Their role is advisory, however, at the request of the president of the Association, he/she can be assigned various missions.
4. Member Rights
In accordance with article 7 of the statutes of the Association, the rights of members are:
4.1 The rights of “Founding” members are:
– Maintain a permanent seat at the Governing Body.
– Have the right to vote.
– Be exempt from membership fees.
4.2 The rights of the “Financial Administrative Manager” members are:
– To keep a permanent seat in the office.
– Have the right to vote.
– Be exempt from membership fees.
4.3 The rights of the “Event / Communications Manager” members are:
– To keep a permanent seat in the office.
– Have the right to vote.
– Be exempt from membership fees.
4.4 The rights of Adhering members are:
– Have priority access to the activities of the association.
– Receive a discount price for the activities & merchandise of the Association.
– Have the right to vote in the General Assembly over the subjects proposed by the governing body on the agenda of the GA.
4.5 The rights of Honorary members are:
– Have a mention on the Association’s website of their status as Honorary Member.
– Are exempt from membership fees.
They don’t have the right to vote.
5. Loss of membership
The resignation must be addressed to the president of the Governing body through registered mail. The letter does not have address the reason for resigning. As indicated in article 8 of the statutes, the exclusion of a member may be ordered by the Governing Body, for serious reasons.
In particular, the following are deemed to constitute serious reasons:
– non-participation in the activities of the association;
– a criminal conviction for felony and misdemeanor; and
– any action likely to harm, directly or indirectly, the activities of the association, the members of the association, or its reputation.
In any case, prior to the exclusion, the person concerned must be able to present in his-her defense. The exclusion decision is adopted by the board of the Governing Body through a majority of the votes cast by the members present. In the event of the death of a member, the heirs or legatees cannot claim any maintenance in the association. The contribution paid to the association is fully acquired, even in the event of the resignation, exclusion, or death of a member during the year.
6. Membership Fee
The amounts mentioned in Articles 6 and 7 of the statutes of the association are fixed by a simple decision of the Governing Body, transcribed in the minutes of the GA, and brought to the attention of those concerned members in writing and through the internet.
6.1 The membership fee for founding members, active members, and honorary members is waived.
6.2 The membership fee for Adhering members is 50€, payable by check or bank transfer in the name of Akhamani or by Bank Card through the website of the Association. There are no pro-rated fees. The year runs from January to December and the renewal membership fee is due on January 1st.
7. The Ambassadors
The Ambassadors are the men and women with whom we collaborate to safely deliver aid to vulnerable populations and ancestral communities. They also help facilitate workshops and events that aim to share ancestral practices, based on well-being and mindfulness, with modern societies. Their nominations are exclusively approved by the Founding Members.
8. General Assembly
The methods applicable to votes are:
8.1 The votes of the members present who have the right to vote: The members present in person or by videoconference vote by show of hands. Decisions are made by a majority of votes cast on the first convocation of the GA and when the quorum is not reached, the meeting of a second GA, a few days later, will be called to rule on the same agenda with a quorum of one-third of the members. It is proceeded, after exhaustion of the agenda, until the renewal of the outgoing members of the council.
8.2 Votes by proxy: as indicated in article 10 of the statutes, if a member of the association cannot attend an assembly in person or by videoconference, he/she may be represented by a proxy.
9. Extraordinary General Assembly
If necessary, an extraordinary general assembly may be called at any time by the governing body of the association.
The extraordinary general assembly is convened by the president, in particular for a modification of the statutes, the dissolution of the association, the loss of quality of member, or any decision which could have serious consequences on the life or the future action of the association.
The voting procedures are identical to that of the ordinary general assembly.
All deliberations are taken by a show of hands. Unless the dissolution of the association is on the agenda, decisions are taken by a two-thirds majority of the members present.
10. Reimbursements
Only members of the Governing Body and Active members can claim reimbursement of expenses incurred in the course of their duties, with the prior consent of the Governing Body and upon justification.
Members can waive reimbursement from the association by waiving their claim on the association. In this case, they can benefit from the tax reduction in favor of donations (art 200 of the General Tax Code – CGI -); this waiver of reimbursement is considered a donation.
11. Medical Warning

12. Rules governing the internal regulations
The internal regulations come into force upon their adoption by the Governing Body. It is then brought to the attention of members by email or made available to them on the association’s website.
It is compulsory, in all its elements, for all members of our association.
No stipulation of the internal regulations may have the effect of contradicting the statutory stipulations which must prevail in all circumstances.
